Terms and Conditions

By accessing or using AlfaClub (the "App" or "Services"), you acknowledge and agree to the following terms and conditions (the "Terms"). If you do not agree, do not use the App.

Software Only; No Advice

AlfaClub is software. It provides an interface that lets you interact with public, permissionless smart contracts and third-party blockchain networks. The Company does not act as a broker, exchange, custodian, dealer, fiduciary, investment adviser, or financial institution, and nothing about your use of the App creates any such relationship.

The App is provided "as is" and "as available" for general informational purposes only. Nothing in the App constitutes investment, financial, tax, legal, or professional advice, and you are solely responsible for any actions or decisions you take based on information accessed through the App.

Non-Custodial Nature; Wallet Responsibility

Non-custodial: The Company never takes custody or control of your digital assets. It does not hold your private keys or seed phrases and cannot access, freeze, or recover them, and it cannot move your assets except as you have specifically authorized with your own signature. Your wallets are created and secured by a third-party wallet infrastructure provider (Privy), and you can export them at any time. You are solely responsible for the security of your devices, accounts, and wallet credentials.

Your authorization: Every action you take through the App that moves digital assets (including buying, selling, or transferring room keys, launching or trading tokens, swapping, bridging, sending, and claiming fees) requires your authorization from your own wallet. Most of these are transactions you sign and submit directly. Some are authorized by a signed message instead, such as a permit or signed launch instruction, which the App's automated services submit to the blockchain on your behalf, only within the terms you signed (for example, at the launch time you chose). Sponsored transactions may also be relayed by the Company or its service providers. In every case, the transaction executes on a public blockchain according to the code of the relevant smart contracts.

Irreversible transactions: Blockchain transactions are irreversible. The Company cannot reverse, cancel, or modify a transaction once it is submitted, and cannot refund assets sent to the wrong address or network.

Verification: You are responsible for verifying every detail of a transaction before you confirm it, including addresses, amounts, networks, slippage settings, and fees (including network gas fees).

Eligibility; Sanctions; Prohibited Jurisdictions; Access Controls

You must be at least the age of majority where you live (and at least 18 years old) and have legal capacity to use the App. You represent and warrant that:

You are not (and are not owned or controlled by) a person or entity subject to sanctions administered by the United Nations, United States, United Kingdom, European Union, or other applicable authority, and you are not using the App for the benefit of such a person or entity.
You are not located in, a resident or citizen of, or otherwise using the App from any country or jurisdiction subject to comprehensive embargo, sanctions, or restrictions by the United Nations, United States, United Kingdom, European Union, or other applicable authority. This list is non-exhaustive and may change over time, and includes (without limitation) North Korea, Iran, Syria, Cuba, the Crimea region, and any other region designated as prohibited by law.
You will not use the App in any jurisdiction where the use of blockchain, cryptocurrency, or similar technology is illegal or otherwise restricted.

The Company may implement access controls (including geofencing and other technical measures) and may restrict, suspend, or terminate access to the App at any time for compliance, security, or risk-management reasons. You must not attempt to circumvent any access controls (including through VPNs, proxies, or similar tools). Restricting access to the App does not give the Company control over your wallet or the assets in it.

No Warranty and Limitation of Liability (Key Protections)

To the fullest extent permitted by law, all warranties, express or implied (including but not limited to merchantability, fitness for a particular purpose, and non-infringement) are disclaimed. The Company does not warrant that the App, any smart contract, or any third-party service will be available, uninterrupted, secure, or error-free.

To the fullest extent permitted by law, AlfaClub, the Company, and each of their respective officers, directors, employees, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, digital assets, or other intangible losses, arising out of or relating to your access to, use of, or inability to use the App.

Liability cap: To the fullest extent permitted by law, the total liability of AlfaClub and the Company for all claims arising out of or relating to the App will not exceed USD $100 (or the minimum amount required by applicable law, if higher).

Smart contract, bridge, and network risk: Smart contracts, bridges, and blockchain networks may contain bugs or vulnerabilities, be exploited, congested, forked, or halted, or behave in unexpected ways. Any review or audit is not a guarantee of security and does not constitute a warranty. You use smart contracts, bridges, blockchain networks, and digital assets at your own risk.

Third-Party Services and Networks

The App relies on services and networks the Company does not own or control, including wallet infrastructure (Privy), trade routing (Li.Fi, DFlow), bridging (Relay), liquidity pools (Uniswap), and blockchain networks (including Robinhood Chain, Base, Arbitrum, Ethereum, and Solana). Your use of them may be subject to their own terms. The Company is not responsible for their availability, performance, pricing, security, or conduct, or for any loss arising from them.

Rooms, Room Keys, and Room Tokens

User-created: Rooms, room keys, and room tokens are created by users. The Company does not issue, sponsor, endorse, vet, or guarantee any room, creator, room key, or room token, and does not verify any statement a creator makes.

Risk of loss: Room keys and room tokens can lose some or all of their value. Prices on bonding curves and in liquidity pools move with supply and demand, and there may be no buyer when you want to sell.

No expectation of profit: Room keys are access passes that unlock room membership. Neither room keys nor room tokens represent equity, debt, or any claim on the Company, and you should not acquire either with an expectation of profit from the efforts of the Company. Fee shares paid to keyholders and creators are determined by smart contract code and on-chain activity, may be zero, and may change.

Creator actions: Creators make their own decisions about their rooms, calls, trades, and tokens. Calls and other creator content are not advice, and past performance shown in the App (including on leaderboards) does not indicate future results.

Terms of Use

Prohibited Uses and Content

You agree not to use the App, including but not limited to the chat features and user-generated content, for any illicit, illegal, or harmful purposes. You are strictly prohibited from:

Abuse or Harassment: Engaging in abuse, harassment, bullying, threats, intimidation, or any behavior that harms, degrades, or intimidates other users.
Harmful Content: Sharing, posting, uploading, or transmitting content that is:
- Sexual, graphic, violent, or otherwise explicit in nature
- Defamatory, libelous, or slanderous
- Discriminatory, hateful, or inciting violence against individuals or groups
- Illegal, fraudulent, or designed to deceive others
Spam and Scams: Engaging in spam, scams, phishing, rug pulls, pump-and-dump schemes, or other fraudulent activities.
Market Manipulation: Wash trading, spoofing, coordinated manipulation, or any other attempt to manipulate prices, volumes, rankings, or leaderboards.
Malicious Links: Sharing links to malicious websites, malware, or other harmful resources.
Platform Abuse: Abusing platform mechanics, engaging in sybil attacks, abusing sponsored transactions, or any activity designed to manipulate or game the system.
Infringement: Uploading or sharing content, including token names, tickers, or images, that infringes upon the intellectual property, privacy, or other rights of others.

The Company reserves the right to investigate, and to restrict, suspend, or terminate access to the App for, accounts that violate these Terms.

User Content Disclaimer

No Responsibility for User Content: AlfaClub, its owners, operators, affiliates, and licensors are not responsible for, and disclaim all liability related to:
- User-generated content, including messages, calls, and theses in rooms
- The accuracy, legality, or appropriateness of user content
- Actions taken by other users
- Transactions or interactions between users
- Content moderation decisions or lack thereof
Use at Your Own Risk: You may encounter content that is offensive, harmful, inaccurate, or otherwise objectionable. You use the App and interact with user content at your own risk.
Content Moderation: The App provides reporting tools for abusive content. The Company cannot guarantee immediate removal or action on all reported content, and moderation decisions are made at its discretion. Moderation applies to the App's interface only; it does not affect assets held in your wallet or records on a blockchain.

You acknowledge that using the App carries inherent risks.

Fees; Sponsored Transactions; Promotions

Certain actions involve fees, including fees on room key trades, room token pool fees, spot trading fees, and token launch fees, as described in the App and in the Fees documentation. Fees and fee splits are applied by smart contracts or shown before you confirm, and may change over time. You are responsible for reviewing the applicable fees before you act.

The Company may pay network gas fees for some of your transactions ("sponsored transactions"). Sponsored transactions are offered at the Company's discretion, may be limited, and may change or stop at any time without notice.

If the App offers rewards, referrals, promotions, or similar programs, they may be modified, suspended, or terminated at any time, have no guaranteed monetary value, and may be forfeited for abuse, fraud, or non-organic activity.

Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to your transactions and earnings.

Indemnity

You agree to defend, indemnify, and hold harmless AlfaClub, the Company, and their respective officers, directors, employees, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or relating to: (a) your use of the App; (b) your User Content, rooms, calls, or tokens; (c) your violation of these Terms or applicable law; or (d) your dispute with any third party.

Intellectual Property & Copyright

All content, intellectual property, trademarks, logos, graphics, design, compilation, computer code (source or object), and software provided by AlfaClub ("Materials") are the exclusive property of AlfaClub or its licensors, and are protected by applicable copyright, trademark, and intellectual property laws.

You may not copy, modify, reproduce, distribute, transmit, display, publish, license, create derivative works from, or sell any Materials without express written consent from AlfaClub.
Any content that you upload or post remains your intellectual property, but by posting, you grant AlfaClub a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for operation of the App.
You must not upload or share any content that you do not own or have rights to, or that infringes upon the rights of others.

Third-Party Content

The App may contain links to or content from third-party websites or services, including token data and prices from third-party sources. The Company does not endorse and is not responsible for the availability, accuracy, or legal compliance of any third-party content.

Privacy Policy

This Privacy Policy explains how AlfaClub (the "App" or "Services") collects, uses, shares, and protects information when you use the Services. This Privacy Policy is intended to be read together with the Terms on this page.

Scope and Key Notes

Non-custodial: We do not store your private keys or seed phrases and cannot access or recover them.
Public blockchain data: Transactions and wallet addresses recorded on public blockchains are public and may be accessible indefinitely. We cannot edit or delete on-chain data.

Information We Collect

Depending on how you use the Services, we may collect the following categories of information:

Account and profile information
- Your X (formerly Twitter) account identifier, username, display name, and profile image, received when you sign in with X through our authentication provider.
- Profile information you choose to provide.
Wallet and blockchain information
- The EVM and Solana wallet addresses created for your account, and on-chain activity relevant to rooms, room keys, room tokens, trading, funding, and fees.
Chat, rooms, and user content
- Messages you send, reactions, polls, calls and theses, attachments or links you share, and related metadata (for example, timestamps and room identifiers). Messages may be stored and indexed to support features like history and search.
- Content you submit through reporting or support flows.
Notification data
- Push notification subscription data (browser or device push tokens) and your notification preferences, if you opt in.
Usage and device information
- Basic device and browser information, app interaction data, and diagnostic information (for example, logs and performance data) used for security, debugging, and improving the Services.
- Your approximate location may be inferred from your IP address for security, fraud prevention, and access controls (including sanctions and geofencing compliance).
Cookies, local storage, and similar technologies
- We use cookies, local storage, and similar technologies to operate the Services (for example, authentication and session tokens, preference storage, and consent status). See "Cookies and Similar Technologies" below.

How We Use Information

We use information for purposes such as:

Provide and operate the Services (including rooms, chat, trading, funding, leaderboards, and notifications)
Sponsor transactions (for example, tracking your daily allowance of sponsored transactions)
Authenticate and secure accounts (including fraud prevention, abuse detection, and enforcing access controls)
Moderation and trust & safety (for example, investigating reports and enforcing the Terms)
Improve and troubleshoot (including debugging, performance monitoring, and product improvement)
Comply with law and protect rights (including responding to lawful requests and enforcing our Terms)

We may share information:

With service providers that process data on our behalf to operate the Services (for example, hosting and storage, databases, monitoring, push notification delivery, wallet and authentication providers, trade routing or bridging providers when you submit a transaction, and an AI model provider for Chip, which receives each question asked of Chip together with the room details and messages needed to answer it. That can include messages you posted in a room when another member there asks Chip something, such as a catch-up of recent chat).
For legal, compliance, and safety reasons: to comply with applicable law, enforce our Terms, or protect the rights, safety, and security of users, the Company, and others.
In a business transfer: in connection with a merger, acquisition, financing, reorganization, or sale of assets (subject to applicable law).

We do not sell your personal information in the traditional sense. If we ever use advertising or tracking technologies that may be considered a "sale" or "sharing" under certain laws, we will update this Privacy Policy accordingly and provide any required choices.

Examples of service providers (may change over time): authentication and wallet providers (such as Privy), infrastructure and hosting providers (such as Fly.io, Supabase, and Vercel), error and performance monitoring providers (such as Sentry, which may include session replay), trade routing and bridging providers (such as Li.Fi, DFlow, and Relay), and AI model providers for Chip.

Cookies and Similar Technologies

We may use cookies, local storage, and similar technologies for:

Essential purposes (for example, keeping you signed in, enabling core functionality, and remembering preferences)
Analytics and performance (for example, understanding how the Services are used and improving reliability)

You can typically control cookies through your browser settings. Disabling certain cookies or storage may cause parts of the Services to stop working.

Data Retention

We retain information for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements. Some data (such as blockchain data) is public and may persist indefinitely. We may retain backups and logs for a limited period for security and operational purposes.

Your Choices and Rights

Depending on your location, you may have rights to request access, correction, deletion, or portability of certain information, or to object to or restrict certain processing. Some requests may be limited where we have a lawful basis to retain data (for example, security, compliance, or where data is public or on-chain).

Security

We use administrative, technical, and organizational safeguards designed to protect information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Changes to this Privacy Policy

We may update this Privacy Policy from time to time. We will post the updated version on this page, and your continued use of the Services after changes become effective constitutes acceptance of the updated Privacy Policy.

User Responsibility

You are solely responsible for your own actions, compliance with local laws, and any content you share or post. Using blockchain technology and digital assets involves significant risk, including potential loss of value and regulatory changes. Ensure that your use of the App complies with all laws and regulations applicable to you.

Trading Risks: Trading digital assets carries substantial risk of loss. Prices are highly volatile, newly launched tokens are especially volatile and illiquid, and you may lose your entire investment. Never trade with funds you cannot afford to lose.
